Terms of Service

Draft, awaiting legal review. This document is not yet in effect and is not legal advice.
These terms are an agreement between you and Fral, in Ontario, Canada ("we"), for your use of Fralkeep, Fral's service for recording and transcribing Discord voice channels. By connecting your Discord account to Fralkeep, or by using it, you accept these terms and the Privacy Policy. If you do not accept them, do not use Fralkeep.
Fralkeep
Fralkeep records a voice channel on Discord when you start a recording from its dashboard, keeps each voice as its own track, and makes a transcript and a mixed MP3 that only you can reach. It is an early-access service: features, limits and prices may change, and some may be unavailable while it is being built.
Fralkeep is not made, endorsed or supported by Discord. Your use of Discord, and of Fralkeep's bot inside it, is also governed by Discord's own terms and community guidelines.
Your account
You sign in with your Discord account; Fralkeep has no password of its own. You must be old enough to use Discord where you live, and at least 13. If you are under the age of majority where you live, you need a parent's or guardian's permission to use Fralkeep, and a parent or guardian must make any payment. You are responsible for what is done with your account, so keep your Discord account secure.
Recording other people
Recording people's voices is regulated by law, and in many places recording a conversation without the consent of everyone in it is a crime. When you start a recording with Fralkeep, you are the person recording, and you agree to:
- record only a conversation you take part in, in a server and channel where you are allowed to record;
- tell everyone in the channel that it is being recorded, and transcribed, before you start, and anyone who joins while it records;
- obtain every consent the law where you and they are requires, which in some places means every person's consent;
- stop recording, or exclude a person, when anyone asks you not to record them, unless the law allows otherwise;
- follow the rules of the server you record in, and Discord's terms;
- use recordings and transcripts only lawfully, and never to harass, threaten, expose or deceive anyone.
Fralkeep's bot is visible in the voice channel while it records, and its status reads "Recording a session". That is not a substitute for telling people yourself. A recording starts only after a person chooses to start it, and records everyone who speaks in the channel, including bots that play audio, until it is stopped or ends.
Your recordings
Your recordings, transcripts and MP3s are yours, as are the rights of the people in them in their own voices and words. You give Fral permission to store, copy, process and show them to you only as needed to provide Fralkeep: recording, transcribing, mixing, storing, archiving and delivering them, and erasing them when you ask. Fral does not use them for anything else, does not listen to them or read them, and does not use them to train AI models.
You are responsible for having the right to record and keep what you record. Recordings are kept until you delete them or your data, as the Privacy Policy describes. Fral works to keep them safe and keeps a second copy of every recording's original audio, but Fralkeep is not a guaranteed archive: download anything you cannot afford to lose.
Transcripts are made by speech recognition and can be wrong. Names, numbers and short replies in other languages are the most likely to be wrong. Check a transcript before relying on it.
Acceptable use
Do not use Fralkeep to:
- break any law, or anyone's rights in privacy, publicity or intellectual property;
- record anyone secretly, or anyone who has asked not to be recorded;
- harass, threaten, stalk or exploit anyone, or record content that sexualises minors;
- get around Fralkeep's limits, payments or security, or reach anyone else's account or recordings;
- overload or disrupt Fralkeep, or probe or test its security without Fral's written permission;
- copy, resell or rent Fralkeep, or reverse engineer it, except as the law allows despite this term.
To report misuse of Fralkeep, including a recording made of you without notice, write to support@fral.app. Fral reviews every report and may stop recordings, suspend or close accounts, and preserve or disclose information where the law requires.
Recording time
Recording uses time from your account: the time the bot spends recording, silence included, counted once however many people speak. Time Fralkeep could not confirm it recorded is not charged. One recording lasts at most 6 hours. Time is personal: it belongs to the account it was granted to and cannot be moved, shared or sold.
- Free time. A new account receives 2 hours of on-demand time, once per Discord account.
- Fralkeep Monthly is a subscription that adds monthly recording time for each billing period. It renews each month until you cancel. Monthly time is for its own period and does not carry over.
- Fralkeep Anytime is a one-time purchase of on-demand time, which does not expire while your account exists.
- Codes that Fral gives out may add on-demand time, once per account.
Recording uses monthly time first, then on-demand time, the oldest first. When your time runs out, the recording stops; Fralkeep never records past the time you have.
Payment
Prices are shown, in Canadian dollars and before any tax, on the pricing page and at checkout. Payments are processed by Stripe, under Stripe's terms. A subscription is charged at the start of each billing period until it is cancelled. Prices may change, but a new price never applies to a subscription already running unless Fral tells you first, so you can cancel before it does.
Cancelling. You can cancel Fralkeep Monthly at any time from the pricing page. It ends at the end of the period you have paid for, and its time lasts until then. Your recordings are kept when a plan ends.
Refunds. Unused Fralkeep Anytime time is refunded on request within 14 days of its purchase: write to support@fral.app. Fralkeep Monthly is not refunded. If a payment is refunded or disputed, the recording time it bought and has not been used is taken back, and held while a dispute is open; a dispute cancels the plan it paid for. Deleting your data cancels Fralkeep Monthly at once without a refund, and any unused time is lost. Nothing in these terms takes away a refund that the law where you live gives you.
Ending
You can stop using Fralkeep at any time, and delete all of your data from the dashboard. Fral may suspend or close an account that breaks these terms, after telling its owner why unless the law or safety forbids it. Fral may also stop offering Fralkeep; if it does, it will announce it at least 30 days ahead, so you can download your recordings, and then erase them. Removing Fralkeep's bot from a server stops any recording in it, but does not delete recordings already made there, which belong to the people who made them.
Disclaimers
Fralkeep is provided "as is" and "as available". As far as the law allows, Fral makes no promise that it will be uninterrupted, error-free or fit for a particular purpose, that every word will be recorded or transcribed, or that a recording cannot be lost. Discord, network failures, outages and the limits described in Fralkeep itself can interrupt or end a recording, and Fralkeep says in each recording what it lacks and why.
Limits of liability
As far as the law allows, Fral is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill, and Fral's total liability for any claim about Fralkeep is limited to the greater of what you paid Fral in the 12 months before the claim and 20 Canadian dollars. These limits do not apply where the law does not allow them, such as for fraud, gross negligence or wilful misconduct, and do not take away any right a consumer has that a contract cannot waive.
You are responsible for the recordings you make. If someone claims against Fral because of a recording you made or how you used it in breach of these terms or the law, you agree to cover Fral's reasonable costs of that claim, as far as the law allows.
Law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and disputes about them go to the courts of Ontario. If you are a consumer, you also keep the protection of the mandatory laws of the country or province where you live, and may bring a claim in its courts. Before bringing a claim, please write to support@fral.app so Fral can try to settle it.
Changes to these terms
When these terms change in a way that matters, Fral will say so on this page and in the dashboard at least 30 days before the change takes effect. If you keep using Fralkeep after that, the new terms apply; if you do not accept them, stop using Fralkeep and delete your data. The date at the top says when they last changed.
General
These terms and the Privacy Policy are the whole agreement between you and Fral about Fralkeep. If a part of them cannot be enforced, the rest still applies. Fral not enforcing a term is not a waiver of it. You may not transfer these terms; Fral may transfer them to whoever takes over Fralkeep, who will be bound by them.
